These Terms of Service ("Terms") govern your access to and use of the It Matters - Hospitality Coach mobile application, our website at itmattershq.com, and related services (collectively, the "Services") provided by It Matters Group LTD. ("Company," "we," "us," or "our"), a corporation registered in the Province of British Columbia, Canada. By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Eligibility
1.1 You must be at least 18 years old to use the Services. By accessing the Services, you represent and warrant that you are of legal age to form a binding contract in your jurisdiction.
1.2 The Services are intended for personal and professional use only. Use of the Services for unlawful purposes is strictly prohibited.
2. Accounts
2.1 To access the Services, you must create an account by providing accurate and complete information, including your name and email address.
2.2 You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
2.3 We reserve the right to suspend or terminate any account that violates these Terms.
3. Subscription and Payment
3.1 Access to the Services requires an annual subscription fee of CAD $99 for the first year, and CAD $30 per year thereafter, billed through Stripe. Additional add-ons and features may be purchased separately.
3.2 By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel your subscription.
3.3 7-Day Money Back Guarantee. First-time subscribers to the Services are eligible for a full refund if requested within fourteen (7) days of the initial subscription purchase date. To request a refund under this guarantee, you must contact us at [hello@itmattershq.com](mailto:hello@itmattershq.com) within the 7-day period. Refunds will be processed within 7-10 business days. This guarantee applies only to your first subscription purchase and does not apply to renewals, add-ons, or resubscriptions.
3.4 Except as provided in Section 3.3, all fees are non-refundable, except as required by applicable law.
3.5 We may adjust pricing at our discretion, with at least 30 days' prior notice to subscribers.
4. User Conduct
4.1 You agree not to:
- Use the Services for unlawful, harmful, or fraudulent purposes.
- Share, resell, or commercially exploit the Services without authorization.
- Upload, post, or transmit content that is defamatory, obscene, abusive, or otherwise objectionable.
- Attempt to interfere with or disrupt the operation of the Services.
5. Intellectual Property
5.1 All materials provided through the Services, including lesson content, tasks, graphics, logos, and trademarks ("Content"), are the property of It Matters Group LTD. or its licensors.
5.2 You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal and professional development only.
5.3 You may not reproduce, distribute, or create derivative works of the Content without our prior written consent.
6. No Professional Advice
6.1 The Services provide leadership development and coaching tools for the hospitality industry. The Content is for informational and educational purposes only.
6.2 The Services do not constitute professional legal, financial, employment, or human resources advice.
6.3 You acknowledge that reliance on the Content is at your own risk, and you remain solely responsible for all workplace decisions and actions.
7. Disclaimer of Warranties
7.1 The Services are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
7.2 We do not warrant that the Services will be uninterrupted, error-free, or secure.
8. Limitation of Liability
8.1 To the fullest extent permitted by law, It Matters Group LTD. and its officers, directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or related to your use of the Services.
8.2 Our total liability for any claim arising from or relating to these Terms or the Services shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim.
8.3 Without limiting the foregoing, we shall not be liable for any employment-related consequences, including but not limited to disciplinary actions, termination, or disputes arising from reliance on the Services.
9. Termination
9.1 You may cancel your subscription at any time through your account settings.
9.2 We may suspend or terminate your account if you violate these Terms, misuse the Services, or if required by law.
9.3 Upon termination, all rights granted under these Terms will cease immediately.
10. Governing Law and Jurisdiction
10.1 These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of laws principles.
10.2 Any dispute, claim, or proceeding arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia.
11. Changes to Terms
11.1 We may update or modify these Terms at any time. Changes will be effective upon posting within the Services or on our website.
11.2 Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
12. Use of Artificial Intelligence
12.1 Some features of the Services use artificial intelligence ("AI") technologies to generate content, insights, or recommendations.
12.2 You acknowledge that AI-generated outputs may not always be accurate, complete, or appropriate for your specific situation. The Company does not guarantee the reliability or correctness of any AI-generated content.
12.3 All decisions and actions you take in reliance on AI-generated content remain solely your responsibility. The Company is not liable for any consequences, losses, or damages arising from the use of or reliance on AI-generated content.
12.4 You agree not to use AI-generated outputs in a manner that violates these Terms, applicable laws, or workplace obligations.
13. Privacy Policy
13.1 Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
13.2 By using the Services, you also agree to the terms of our Privacy Policy.
14. Indemnification
14.1 You agree to indemnify, defend, and hold harmless It Matters Group LTD. and its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:
- (a) Your use of or access to the Services;
- (b) Your violation of these Terms;
- (c) Your violation of any third-party rights, including intellectual property rights or privacy rights;
- (d) Any content or information you submit, post, or transmit through the Services; or
15. Notices
15.1 We may provide notices to you via email at the address associated with your account, through the Services, or by posting on our website.
15.2 You are responsible for ensuring that your email address on file is current and accurate.
15.3 Notices sent by email will be deemed delivered 24 hours after sending, provided we do not receive notice that the email was not delivered.
16. Severability
16.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
16.2 The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
17. Entire Agreement
17.1 These Terms, together with our Privacy Policy, constitute the entire agreement between you and It Matters Group LTD. regarding your use of the Services.
17.2 These Terms supersede all prior or contemporaneous agreements, understandings, representations, or communications, whether written or oral, regarding the Services.
